Product Use, Safety & Compliance Policy

This Product Use, Safety & Compliance Policy (“Policy”) applies to all products (“Products”) supplied by Defined Bioscience, Inc. (“Defined”, “we”, “us”, or “our”). By purchasing or using our Products, you (“Customer” or “User”) agree to comply with this Policy.
Research Use Only (RUO)
All Products are for research use only (RUO), unless otherwise indicated. Products are not intended for use in humans or animals, including but not limited to diagnostic, therapeutic, clinical, or any in vivo applications, unless otherwise indicated. Use of Products for any prohibited purpose is strictly forbidden.
Permitted Use
Products may only be used by qualified personnel trained in laboratory procedures, in appropriate research facilities, and in compliance with all applicable laws, regulations, and institutional guidelines. Customer is solely responsible for determining whether Products are suitable for their intended research use.
Prohibited Uses
Customer shall not use Products for any clinical, diagnostic, therapeutic, or human application; use Products in violation of any applicable law or regulation; use Products for any harmful, hazardous, or unethical purpose; use Products in connection with the development, production, or testing of weapons, including chemical or biological weapons; resell, repackage, relabel, or distribute Products without prior written authorization from Defined; or reverse engineer, modify, or attempt to derive the composition or formulation of Products.
Storage, Handling, and Safety
Customer is responsible for proper storage and handling of Products in accordance with provided instructions, maintaining required temperature conditions including cold-chain handling where applicable, ensuring appropriate laboratory safety practices and use of personal protective equipment, and reviewing and complying with applicable Safety Data Sheets where provided. Defined shall not be responsible for any damage, loss of product performance, or safety issues resulting from improper storage, handling, or use.
Regulatory Compliance
Customer agrees to comply with all applicable local, national, and international laws and regulations, institutional policies and biosafety requirements, and import, export, and customs requirements. Customer is responsible for obtaining any required permits, approvals, or licenses for use of the Products.
Intellectual Property
All intellectual property rights in the Products remain the exclusive property of Defined or its licensors. No rights are granted except for use in accordance with this Policy and applicable agreements.
Limitation of Responsibility
Defined does not control the conditions under which Products are used. Customer assumes all responsibility for determining appropriate use, compliance with applicable laws and regulations, and any results obtained from use of the Products. Defined shall not be liable for misuse or use outside the scope of this Policy.
Updates
Defined may update this Policy from time to time. The version in effect at the time of purchase or use shall apply.
