Export & Trade Compliance Policy

Defined Bioscience, Inc. (“Defined”, “we”, “us”, or “our”) is committed to complying with all applicable export control and trade compliance laws and regulations.

Compliance with Export Laws
Customer agrees to comply with all applicable export control laws and regulations, including but not limited to those administered by the U.S. Department of Commerce under the Export Administration Regulations (EAR), the U.S. Department of the Treasury through the Office of Foreign Assets Control (OFAC), and any other relevant governmental authority.

Restricted Destinations and Parties
Products may not be exported, re-exported, transferred, or otherwise provided to countries or territories subject to applicable trade sanctions or embargoes, to individuals, entities, or organizations listed on any applicable restricted or denied party lists, or to any party engaged in activities prohibited by applicable export laws. Customer is responsible for screening all transactions and end users.

Prohibited End Uses
Products may not be used, directly or indirectly, in connection with chemical, biological, or other weapons development, in military or prohibited government end uses where restricted by law, or for any purpose prohibited under applicable export control regulations.

Import and Local Compliance
Customer is responsible for obtaining all required import licenses, permits, or approvals, paying all applicable duties, taxes, and fees, and ensuring compliance with local laws and regulations in the country of import and use.

Documentation and Information
Defined may request information from Customer to ensure compliance with applicable laws, including end-use statements, end-user information, and destination details. Defined reserves the right to refuse or cancel any order if compliance concerns arise.

Responsibility and Indemnification
Customer assumes full responsibility for compliance with all applicable export and trade laws and agrees to indemnify and hold harmless Defined from any claims, damages, or liabilities arising from Customer’s failure to comply with such laws.

Updates
Defined may update this Policy from time to time. The version in effect at the time of transaction shall apply.
